By accessing “https://beyondcampus.us", you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by Grepp USA.

We, Grepp USA, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page and notify existing users. Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website; or

transfer the materials to another person or “mirror” the materials on any other server; or
knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Grepp USA provides; or
use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material; or
use this website or its associated services in violation of any applicable laws or regulations; or
use this website in conjunction with sending unauthorized advertising or spam; or
harvest, collect, or gather user data without the user’s consent; or
use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to Grepp USA and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service and may be terminated by Grepp USA at any time.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

In no event shall Grepp USA or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Grepp USA or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of State of California, United States of America. You irrevocably submit to the exclusive jurisdiction of the courts in the State of California or close to Grepp USA business location at 200 Spectrum Center Dr. Suite 300, Irvine, CA 92618.




Instructor Terms

These Instructor Terms were last updated Aug 5, 2022.

When you sign up to become an instructor on the BeyondCampus platform, you are contracting directly with Grepp USA, Inc and agree to abide by these Instructor Terms ("Terms"). These Terms cover details about the aspects of the BeyondCampus platform relevant to instructors and are incorporated by reference into our Terms of Service, the general terms that govern your use of our Services. Any capitalized terms that aren't defined in these Terms are defined as specified in the Terms of Service.

1. Instructor Obligations

As an instructor, you are responsible for all content that you post, including course landing page contents, lessons, teaching resources, coding practice exercises and tests, assessments, and announcements ("Course Content").

You represent and warrant that:

you will provide and maintain accurate account information;

you own or have the necessary licenses, rights, consents, permissions, and authority to authorize BeyondCampus to use your Course Content as specified in these Terms and the Terms of Service;

your Course Content will not infringe or misappropriate any third party's intellectual property rights;

you have the required qualifications, credentials, and expertise to teach and offer the services that you offer through your Course Content and use of the Services; and

you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:

post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, discriminatory, defamatory or libelous content or information;

post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;

use the Services for business other than providing teaching and instructional services to students;

engage in any activity that would require us to obtain licenses from or pay royalties to any third party;

frame or embed the Services or otherwise circumvent the Services;

impersonate another person or gain unauthorized access to another person's account;

interfere with or otherwise prevent other instructors from providing their services or content; or

abuse BeyondCampus resources, including support services.

2. License to BeyondCampus

You grant BeyondCampus the rights detailed in the Terms to offer, market, and otherwise exploit your Course Content. This includes the right to add captions or otherwise modify Course Content to ensure accessibility. You also authorize BeyondCampus to sublicense these rights to your Course Content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Unless otherwise agreed, you have the right to remove all or any portion of your Course Content from the Services at any time. Except as otherwise agreed, BeyondCampus's right to sublicense the rights in this section will terminate with respect to new users 60 days after the Course Content's removal. However, (1) rights given to students before the Course Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) BeyondCampus's right to use such Course Content for marketing purposes shall survive termination.

We may record and use all or any part of your Course Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant BeyondCampus permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Course Content, or BeyondCampus's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

3. Co-Instructors

The BeyondCampus platform allows you to add other users as co-instructors for Course Content that you manage, and by adding a co-instructor, you understand that you are authorizing them to take appropriate actions that affect your BeyondCampus account and course. Violations of BeyondCampus's terms by your co-instructor may also impact your BeyondCampus account and course. BeyondCampus is not able to advise on any questions or mediate any disputes between you and such users. If your co-instructors have an assigned revenue share, their share will be paid out of your earned revenue share.

4. Relationship to Other Users

Instructors don't have a direct contractual relationship with students, so the only information you'll receive about students is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on the BeyondCampus platform, and that you won't solicit additional personal data or store students' personal data outside the BeyondCampus platform. You agree to indemnify BeyondCampus against any claims arising from your use of students' personal data.

5. Payments

5.1 Revenue Share

BeyondCampus will transfer the Enrollment Fees to the instructor's Stripe account for each sale of a Course within a reasonable period of time, minus BeyondCampus’s service fees of 10%. In order to transfer funds to the instructor’s Stripe account, the instructor shall sign up for a Stripe account. BeyondCampus has discretion to act on behalf of the student, and to not transfer the Enrollment Fees to instructor, if student reports that the Course was not provided or adequately completed. This may include but is not limited to circumstances where an instructor did not arrive for a Course or a Course was of insufficient quality. BeyondCampus will independently review such cases, seeking input from the student and/or the instructor, and may decide at its sole discretion to issue a refund to the student. All determinations of BeyondCampus with respect to a refund shall be final and binding on the student and instructor.

BeyondCampus makes all instructor payments in U.S. dollars (USD) regardless of the currency with which the sale was made. BeyondCampus is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur.

5.2 Instructor Coupons

The BeyondCampus platform allows you to generate coupon codes to offer your Course to students at a discount, at BeyondCampus's current price, as permitted within the Services. These coupon codes are subject to limits and you may not sell them on third-party websites or otherwise offer them in exchange for compensation.

5.3 Refunds

You acknowledge and agree that students have the right to receive a refund and instructors will not receive any revenue from transactions for which a refund has been granted. If a student asks for a refund after we have paid the relevant instructor payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the instructor or (2) where no further payments are due to the instructor or the payments are insufficient to cover the refunded amounts, require the instructor to refund any amounts refunded to students for the instructor's course.

6. Trademarks

While you are a published instructor and subject to the requirements below, you may use our trademarks where we authorize you to do so.

You must:

only use the images of our trademarks that we make available to you,

only use our trademarks in connection with the promotion and sale of your Course available on BeyondCampus or your participation on BeyondCampus; and

immediately comply if we request that you discontinue use.

You must not:

use our trademarks in a misleading or disparaging way;

use our trademarks in a way that implies that we endorse, sponsor, or approve of your Course or services; or

use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

7. Deleting Your Account

We'll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before deleting your account. You understand that if students have previously enrolled in your course, your name and that Course may remain accessible to those students after your account is deleted.

8. Termination

You agree that BeyondCampus, in its sole discretion, may remove content, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:

an instructor or content does not comply with our policies or legal terms (including the Terms of Service);

content falls below our quality standards or has a negative impact on the student experience;

an instructor engages in behavior that might reflect unfavorably on BeyondCampus or bring BeyondCampus into public disrepute, contempt, scandal, or ridicule;

an instructor engages the services of a marketer or other business partner who violates BeyondCampus's policies;

an instructor uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates BeyondCampus's policies; or

as determined by BeyondCampus in its sole discretion.

9. Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and BeyondCampus reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
